Terms of Service — Vagary Voice

Provider: Vagary Labs LLP ("we", "us"), an Indian Limited Liability Partnership (LLPIN ADA-4675), registered office House No. 418 Ward No. 38, Chandni Takij Road, Satna, Kotwali, Raghurajnagar, Satna - 485001, Madhya Pradesh, India.

Service: Vagary Voice at vagaryvoice.cloud and portal.vagaryvoice.cloud.

By accessing or using Vagary Voice, you agree to these Terms. If you do not agree, do not use the service.

1. Eligibility

You must be of legal age to form a binding contract under Indian law, or use the service under the supervision of a parent/guardian.

2. The service

Vagary Labs LLP provides Vagary Voice, a hosted AI voice platform. You configure voice agents; the service transcribes inbound speech, generates a response using a language model, synthesises that response as speech, and can conduct the exchange over a telephone call or a web session. It also provides a dashboard for configuring agents, reviewing sessions and transcripts, and managing your account and usage.

Plans and limits. The service is offered on one or more plans, which may include a free plan. A plan includes an allowance of voice minutes for each billing period; usage beyond that allowance is billed per additional minute at the overage rate for your plan. The plan, allowance, price, billing period and overage rate recorded in your Order Form — or, where there is no Order Form, presented to you at checkout and recorded against your subscription — are the ones that apply to you, and they prevail over any description or figure shown elsewhere on the site or in these Terms. These Terms deliberately do not name plans: plan names, packaging, allowances and prices are part of our published offering and may change, and a change to the offering does not alter what is recorded for an existing subscription.

Fair use. Usage is metered in voice minutes, and programmatic access is rate-limited so that one account cannot degrade the service for others. We may throttle, suspend or require an upgrade where usage materially exceeds the pattern the plan is designed for, or where it threatens the availability or security of the service. We may modify, suspend, or discontinue features.

3. Accounts

You are responsible for the accuracy of your account information and for safeguarding your credentials. Notify us at [email protected] of any unauthorised use.

4. Acceptable use

You agree to use Vagary Voice lawfully and not to: violate any law; infringe IP or privacy rights (including voice/likeness rights of others); upload malware; attempt unauthorised access; scrape/abuse the service; generate unlawful, deceptive, or harmful audio; or use it to harm others. This section states our acceptable-use rules in full; there is no separate acceptable-use document.

5. Your content

You retain ownership of content you submit, including voice inputs. You grant Vagary Labs LLP a limited licence to host, process, and display it solely to operate the service (e.g. to produce outputs). You are responsible for your content and confirm you have the rights to it, including consent of any person whose voice you submit.

6. Intellectual property

Vagary Voice, its software, design, and marks are owned by Vagary Labs LLP or its licensors. Trade mark status: application pending. No rights are granted except as expressly stated. Open-source components used in the service remain governed by their own licences; a copy of the applicable notices is available on request at [email protected].

7. Fees, billing & cancellation

Your Order Form controls. The product, plan, entitlements, limits, price, billing period and any negotiated terms that apply to you are those recorded in your Order Form or, where there is no Order Form, in the checkout record created when you subscribed. That record forms part of the agreement between us, and prevails over these Terms on any of those particulars. Paid plans are billed as recorded there. Cancellation and refunds are governed by our Refund & Cancellation Policy at vagaryvoice.cloud/refund-policy. Taxes (incl. GST) apply as required.

8. Third-party services

The service integrates third-party services (AI/voice infrastructure, payments) governed by their own terms. We are not responsible for third-party services.

9. Disclaimers

Vagary Voice is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. See our Disclaimer at vagaryvoice.cloud/disclaimer, including the limits of AI-generated output accuracy.

10. Limitation of liability

To the maximum extent permitted by law, Vagary Labs LLP is not liable for indirect, incidental, or consequential damages; our aggregate liability for any claim is limited to the amount you paid for the service in the three (3) months preceding the event giving rise to that claim.

11. Indemnity

You agree to indemnify Vagary Labs LLP against claims arising from your misuse of the service or breach of these Terms, including misuse of generated audio.

12. Termination

We may suspend or terminate access for breach. You may stop using the service at any time. Sections that by nature survive termination continue to apply.

13. Privacy

Your use is also governed by our Privacy Policy at vagaryvoice.cloud/privacy and our Cookie Policy at vagaryvoice.cloud/cookie-policy.

14. Governing law & disputes

These Terms are governed by the laws of India. Courts at the registered-office jurisdiction have exclusive jurisdiction, subject to any binding arbitration/consumer-forum provisions.

16. Changes

We may update these Terms; material changes are notified and the effective date revised. Continued use constitutes acceptance. Each version is identified by the version and effective date at the head of this document, and superseded versions are retained — the version you accepted remains available from [email protected]. A change to our published plans or pricing is not a change to these Terms and does not alter the particulars recorded for an existing subscription (see section 7).
